1. Acceptance of Terms

By using our services, you confirm that you are of legal age to enter into these Terms or have obtained the consent of a parent or legal guardian if you are between the ages of 12 and 17, and you agree to be bound by these Terms. If you are a parent or legal guardian agreeing to these Terms on behalf of your child who is between the ages of 12 and 17, you represent and warrant that you have the authority to do so and that you agree to be responsible for your child's use of the App in accordance with these Terms. Given that the target audience for the App includes children aged 12-17, it is essential that Parents review and agree to these Terms before allowing their children within this age range to use the App.

2. Subscription and Account Registration

• Subscription: Access to the App requires a paid subscription purchased by the Parent. The details of the subscription plans, including pricing and billing cycles, are available on our website.
• Account Creation by Parent: Parents must create an account on our website to manage their subscription and add child profiles. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
• Child Profiles: Through your Parent account, you can create profiles for your child(ren) who will use the App. You are responsible for all activity that occurs under your child's profile.
• Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized access or use of your account.

3. Use of the App

• License: Subject to your compliance with these Terms and your payment of the applicable subscription fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App for your child's personal, non-commercial educational purposes, specifically to participate in educational quizzes.
• Acceptable Use: You agree that you will not, and will not allow your child to:
  • Use the App in any way that violates any applicable law or regulation.
  • Attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the App.
  • Use any robot, spider, scraper, or other automated means to access the App for any purpose without our express written permission.
  • Collect or harvest any personally identifiable information, including account names, from the App.
  Impersonate another person or misrepresent your affiliation with any person or entity. Upload or transmit any viruses, worms, or other malicious code.
  • Attempt to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the App.
• Content: The educational quiz questions within the App are owned by or licensed to us and are protected by copyright and other intellectual property laws. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any content obtained from the App without our express written permission.
• Leaderboards: The App may feature leaderboards where your child can see their ranking compared to other users on that leaderboard. There is no direct communication between children through this feature. You acknowledge and consent to your child's participation in these leaderboards and the display of their chosen name or nickname and quiz results.

4. Payment and Subscription Management

• Subscription Fees: You agree to pay the subscription fees as outlined in your chosen plan. All fees are in U.S. dollars and are non-refundable except as expressly stated in these Terms or as required by law.
• Billing: Subscription fees will be billed to your chosen payment method on a recurring basis (e.g., monthly or annually) until you cancel your subscription.
• Payment Methods: We accept various payment methods as indicated on our website. You represent and warrant that you have the right to use the payment method you provide.
• Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel it before the renewal date.
• Cancellation: You can cancel your subscription through your account management portal on our website. Cancellation will be effective at the end of the current billing cycle. You will not receive a refund for any unused portion of your subscription.
• Changes to Fees: We reserve the right to change our subscription fees at any time. We will provide you with reasonable prior notice of any such changes. Your continued use of the App after the fee change becomes effective constitutes your agreement to pay the new fee.

5. Privacy

Your privacy and the privacy of your children are important to us. Please review our Privacy Policy, which is incorporated into these Terms by reference and explains how we collect, use, and disclose information in connection with the App.

6. Termination

We may terminate or suspend your access to the App at any time, with or without cause and without prior notice, including if you violate these Terms. Upon termination, your right to use the App will immediately cease. You will not be entitled to a refund for any unused portion of your subscription.

7. Service Termination and Data Retention

In the event that SHSAT Buddy ceases operations or discontinues the App, we will provide at least 30 days' notice to the Parent's registered email address. During this period, Parents may access and download their child's data. After this notice period, all user data, including child profiles and quiz history, will be permanently deleted from our servers, except as required by law. 8. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE APP OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. Please remember that SHSAT Buddy is a supplementary educational tool intended to support SHSAT preparation. It does not guarantee admission to specialized high schools. Any progress information provided is based on your child's activity on the platform and should be considered alongside other preparation methods. We do not warrant any specific score improvements or admission outcomes based on the use of the App.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SHSAT BUDDY LLC, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SUBSCRIPTION IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

10. Indemnification

You agree to indemnify, defend, and hold harmless SHSAT Buddy LLC and its affiliates, directors, officers, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your breach of these Terms or your or your child's use of the App.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. In the event of any dispute arising out of or relating to these Terms or the App, the parties agree to first attempt to resolve the dispute through good faith negotiation and, if necessary, through mediation in Brooklyn, New York. If the dispute is not resolved through negotiation or mediation within ninety (90) days of the commencement of such process, then any legal suit, action, or proceeding arising out of or relating to these Terms or the App shall be instituted exclusively in the federal or state courts located in Brooklyn, New York, and you irrevocably submit to the jurisdiction of such courts.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes, such as by posting the updated Terms on our website or within the parent web app. Your continued use of the App after the effective date of the revised Terms constitutes your acceptance of the changes.

These Terms constitute the entire agreement between you and SHSAT Buddy LLC regarding the App. If any provision of these Terms is found to be unenforceable or invalid under any applicable law, that provision will be limited or eliminated to the minimum extent necessary, so that the remaining Terms will otherwise remain in full force and effect and enforceable.
